Mr. Tillinghast’s practice focuses on representation of U.S. and foreign corporations, partnerships and other entities with respect to tax planning, mergers and acquisitions, restructurings, joint ventures and financings, with emphasis on cross-border transactions.
Representative Clients, Cases or Matters: Recent representations include the following transactions: issuance of preferred stock qualifying for the dividends received deduction by stapled foreign subsidiary of Verizon Communications, Inc.; structuring of joint venture between the Moët Hennessy subsidiary of LVMH and Phillips Beverage Company; restructuring of U.S. corporate structure of LVMH, Inc.; post-inversion restructuring of U.S. subsidiaries of Ingersoll-Rand Corporation; split-off of U.S. chemicals and logistics businesses of Veba Corporation (now E.On North America, Inc.).
